Overview

1.    Introduction

These Terms and Conditions (“Terms”) govern the purchase, access, and use of products (“Reports”, or “Report”) offered by ENERGYDM Group, ENERGYDM Management (“Company”) through its online portal and/or website (“Portal”). By purchasing, subscribing, registering, using or accessing the “Portal” or “Reports”, you agree to abide by these Terms. If you do not agree, do not purchase, subscribe, register, use or access these products (“Reports”, or “Report”).

2.    Definitions

  1. “Individual User”: A single user, associated with a unique “Single-User Email” address.
  2. “Enterprise User”: A multi-user account designated for direct, full-time employees within a single organization. Each direct, full-time employee must have an individual “Organization-User Email” address issued by the organization and linked to the same organization “Email Domain.” “Enterprise User” access is strictly limited to direct, full-time employees of the subscribing organization under the same organization “Email Domain”. Partner companies, subsidiaries, third-parties, contractors, consultants, service providers, or affiliated entities are explicitly excluded from the definition of “Enterprise User” and are not authorized to access, use, or benefit from an Enterprise Subscription through the purchasing organization. The organization is responsible for ensuring compliance with these terms by all authorized users under its Enterprise Subscription.
  3. “Single-User Email” address refers to an email account assigned to a single person. The account is exclusive to the assigned user and shall not be shared with others. The owner is responsible for maintaining security, complying with usage policies, and ensuring proper handling of communications.
  4. “Organization-User Email” address is an email account provided by an organization to its employees. It is managed under organization policies, including security, data retention, and acceptable use guidelines. These addresses typically include additional security features such as encryption, access control, and IT monitoring. “Organization-User Email” does not include email providers, similar to Yahoo Mail, Outlook.com, AOL, Gmail, Hotmail, iCloud Mail, and similar.
  5. “Email Domain” is the portion of an email address that follows the “@” symbol (e.g., ‘@organization.com’). It represents the organization that owns and manages the email infrastructure.
  6. “User” or “Users” when not explicitly referred as “Individual User” or “Enterprise User” shall refer to both “Individual User” and “Enterprise User,” collectively or individually, as applicable under the terms of this Agreement.
  7. “Report” or “Reports” refer to all physical or digital products available in the “Portal”, including, but not limited to, reports, articles, data, images, tables, comparison materials, copyrighted text, research, analysis, graphics, methodologies, any proprietary insights, amid others.
  8. “Portal” refers to any physical location, digital or online platform, display, booth, site, website, and/or online system or platform, and/or secured online system or platform that is owned, operated, or otherwise managed by the “Company”.

3.    Purchase Methods

  1. “COMPANY” offers distinct purchasing options for Individual and Enterprise.

        i. Individual Purchase

  1. An Individual purchase allows a single user (“Individual User”) to acquire a standalone “Report”, or a group of “Reports”.
  2. Upon payment, the “Individual User” may be able to download purchased “Reports” through the “Portal” or via link.
  3. The “Individual User” is strictly prohibited from physically or electronically distributing, sharing, disclosing, printing, or reproducing, in part or entire, the “Reports”, its images, pictures, tables, comparisons, or any visual and written content in the “Reports”. Any violation may result in legal action.

        ii. Enterprise Purchase

  1. An Enterprise purchase allows a single multi-user (“Enterprise User”) to acquire a standalone “Report”, or a group of “Reports”.
  2. Upon payment, the “Enterprise User” may be able to download purchased “Reports” through the “Portal” or via link.
  3. The “Enterprise User” is strictly prohibited from physically or electronically distributing, sharing, disclosing, printing, or reproducing, in part or entire, the “Reports”, its images, pictures, tables, comparisons, or any visual and written content in the “Reports”. Any violation may result in legal action.

        iii. Individual Subscription

  1. An Individual Subscription grants the “Individual User” access to “Reports” produced by “Company” through the “Company” Portal for the duration of the subscription (1 year) after the date of its purchase.
  2. Access is provided via the “Individual User”’s personal login credentials.
  3. Sharing login credentials is strictly prohibited. The “Individual User” with an Individual Subscription is strictly prohibited from physically or electronically distributing, sharing, disclosing, printing, or reproducing, in part or entirely, the “Reports”, its images, pictures, tables, comparisons, or any visual and written content in the “Reports”. Any violation may result in legal action.

    iv. Enterprise Subscription

  1. An Enterprise Subscription grants all direct, full-time employees within a purchasing organization (“Enterprise User”) access to “Reports” through their unique login credentials, provided that each user accesses the Portal with an “Organization-User Email”, on the “Company” Portal for the duration of the subscription (1 year) after the date of its purchase.
  2. The subscription is valid only for the purchasing organization and its direct, full-time employees, and does not extend to any partner companies, subsidiaries, third parties, contractors, consultants, service providers, or affiliated entities.
  3. Sharing login credentials is strictly prohibited. “Enterprise User” may use “Reports” internally within the subscribing organization’s strategic review or discussion, provided that no portion, in part or entirely, of the “Report” is physically or electronically distributed, shared, disclosed, printed, or reproduced, or circulated beyond the organization’s employees.

4.    Access and Use

  1. “User” is granted a non-exclusive, non-transferable, and revocable license to access and use the content on the “Portal” in accordance with the terms outlined in the ‘Purchase Method’ section.
  2. Unauthorized physical or electronic sharing, distribution, reproduction, printing, or disclosure of “Reports” or “Portal” content is strictly prohibited and may result in legal action. “User” is strictly prohibited from physically or electronically distributing, sharing, disclosing, or reproducing, printing, in part or entirely, the “Reports”, its images, pictures, tables, comparisons, or any visual and written content in the “Reports”. Any violation may result in legal action.

5.    Payments and Renewals

  1. Individual purchase must be paid upfront in full (full purchase amount) before accessing or downloading the “Reports”.
  2. Enterprise purchase must be paid upfront in full (full purchase amount) before accessing or downloading the “Reports”.
  3. Individual Subscription must be paid upfront in full (full Yearly amount) before “Reports” download or access to the Portal is granted.
  4. Enterprise Subscription must be paid upfront in full (full Yearly amount) before “Reports” download or access to the Portal is granted.
  5. All Individual and Enterprise Subscriptions renewals are processed automatically unless canceled prior to the renewal date.
  6. All sales, purchase, and subscriptions are final. Due to the nature of digital “Reports”, no refunds will be issued after payment, or subscription renewal is processed, except as required by applicable law.
  7. Subscription renewal date is on the 365th days after initial purchase payment.
  8. Payment Rejection and Fees Clause. In the event that any payment made by the “User” is rejected, refused, or otherwise fails to clear for any reason, the “User” agrees to pay a rejection fee, to be defined in a case-by-case basis, in addition to the outstanding balance. This fee shall cover the administrative costs and any associated charges incurred by the “Company” due to the rejection. The “User” acknowledges that such payment rejections may result in delays or suspension of services and access to “Portal” and “Reports” until all outstanding payments and associated fees are resolved. Payments must be made in accordance with the terms specified in this Agreement to avoid such fees.

6.    Intellectual Property Rights

  1. All “Reports” and their contents are the exclusive Intellectual Property of “Company”.
  2. “Intellectual Property” includes, but not limited to, copyrighted text, data, research, analysis, graphics, images, tables, methodologies, and any proprietary insights contained within the “Reports”.
  3. “User” is strictly prohibited from copying, modifying, reproducing, transmitting, sharing distributing, printing, or disclosing “Reports” in any manner, physically or electronically, whether in part or in whole, the “Reports”, its images, pictures, tables, comparisons, or any visual and written content in the “Reports” without explicit written consent from “Company”. Any violation may result in legal action.
  4. “User” acknowledges that any violation of these Terms results in irreparable damage to “Company”, including but not limited to financial loss, reputational harm, and diminished market credibility. Such damage cannot be adequately measured solely by a financial fine and may warrant additional legal action, including injunctive relief and further remedies as permitted by law.

7.    Account Security

  1. “User” is responsible for maintaining the confidentiality of their login credentials.
  2. Any unauthorized access or breach must be reported to “Company” immediately.

8.    Legal Compliance

  1. “User” agrees to comply with all applicable intellectual property laws and regulations.
  2. Violations of these Terms may result in termination of access, financial penalties, and legal proceedings.

9.    Amendments

  1. “Company” reserves the right to modify these Terms at any time. “User” will be notified of any significant changes.

10.  Governing Law

  1. These Terms shall be governed and construed in accordance with the laws of the jurisdiction in Michigan, United States, which “Company” operates.

11.    Copyright Notice

  1. All Rights Reserved to “Company”. All “Reports” and all their contents constitute the exclusive intellectual property of “Company”. Unauthorized reproduction, distribution, publication, modification, printing, or transmission — whether in print, digital, or any other form — is strictly prohibited without prior written consent from “Company”. 12.    Disclaimer

  1. All “Report” is based on assumptions regarding the evolution of economic, political, legal, and technological conditions in individual countries and their broader impact on economic regions and markets, particularly within, but not limited to, the automotive industry. All market forecasts, technological evaluations, and analyses contained herein are inherently uncertain, and actual developments may materially differ from projections.
